Merchant Agreement

This agreement governs the relationship between TicketLux and any Event Organiser ("Merchant") who lists events and sells tickets on our platform.

TicketLux earns revenue in two ways: a commission on ticket sales and an optional membership that unlocks premium perks. Creating and listing events is always free.

Commission on Sales

  • 7% of gross ticket revenue — Marketplace (self-managed; you list and run your own events).
  • 10% of gross ticket revenue — Full Service (concierge; we handle setup, ticketing, and payouts).

The commission covers payment processing infrastructure, fraud detection and chargeback protection, buyer customer support, and platform hosting, security, and compliance. The rate applicable to an event is confirmed at the time of listing and shown in your Partner Dashboard. TicketLux reserves the right to revise commission rates with 30 days' written notice.

Membership Perks — $50/month

  • All premium platform features

Membership is optional and does not affect your ability to create events or sell tickets — it only unlocks additional perks. Membership is billed monthly and may be cancelled at any time; cancellation takes effect at the end of the current billing cycle.

Payouts to Merchants are processed as follows:

  • Standard payout window: Net revenue (gross sales minus platform commission) is paid within 7–14 business days after the event date.
  • Pre-event advance: Upon request and at TicketLux's sole discretion, partial payouts may be issued before the event for high-volume organisers with a proven track record.
  • Minimum payout threshold: Payouts below $50 USD will be held until the balance reaches the threshold or the event concludes.
  • Payment methods: Bank transfer, PayPal, Venmo, Zelle, or cheque as agreed with your account manager.

Payouts may be withheld if there are unresolved chargebacks, active disputes, or suspected fraudulent activity associated with your account.

Merchants bear primary responsibility for chargebacks initiated by buyers. The following terms apply:

  • If a buyer successfully disputes a charge (chargeback), the disputed amount plus a $25 chargeback processing fee will be deducted from your next payout.
  • If your chargeback rate exceeds 1% of total monthly transactions, TicketLux reserves the right to place a hold on your payouts, suspend new event listings, or terminate this agreement.
  • Merchants must cooperate fully with TicketLux in providing evidence to contest fraudulent chargebacks (e.g., scan logs, buyer communication records).
  • TicketLux is not liable for buyer-initiated chargebacks arising from dissatisfaction with the event itself.

In the event that a Merchant cancels an event after tickets have been sold:

  • The Merchant must notify TicketLux in writing at least 48 hours in advance where possible.
  • Full refunds of ticket face value will be issued to all buyers at the Merchant's expense.
  • TicketLux platform commission is non-refundable to buyers and will be retained by TicketLux.
  • Repeated cancellations may result in account suspension or permanent removal from the platform.

By listing an event on TicketLux, you confirm and warrant that:

  • You have full legal authority to sell tickets for the event
  • All event details (date, venue, lineup, capacity) are accurate and up to date
  • You hold all necessary permits, licences, and insurance for the event
  • The event complies with all applicable local laws, health and safety regulations, and age restrictions
  • You will honour all tickets sold through the TicketLux platform
  • You will promptly notify TicketLux of any material changes to the event

Merchants are responsible for maintaining accurate ticket inventory in their Partner Dashboard. TicketLux is not liable for overselling caused by Merchant failure to update available quantities. In the event of overselling, the Merchant bears full responsibility for providing equivalent access or refunds to affected buyers.

By uploading event images, descriptions, and promotional materials to TicketLux, you grant TicketLux a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote this content on our platform and marketing channels for the purpose of selling tickets to your event.

Either party may terminate this agreement with 30 days' written notice. TicketLux reserves the right to terminate immediately for material breach, fraudulent activity, or excessive chargebacks. Upon termination, any outstanding payout balance (less deductions for fees and chargebacks) will be settled within 30 days, provided no disputes are pending.

TicketLux's liability to the Merchant under this agreement is limited to the platform commission received in the 3 months preceding any claim. TicketLux is not liable for losses arising from payment processor outages, force majeure events, or factors outside our reasonable control.

This agreement is governed by the laws of the State of California, USA. Disputes shall first be attempted through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.

Acknowledgement

By clicking "I Agree" or by continuing to list events and sell tickets on TicketLux, the Merchant acknowledges that they have read, understood, and agree to be bound by the terms of this Merchant Agreement.
